By accessing and using the Codesec website (codesec.me), our services, tools, applications, or Chrome extensions, you ("User" or "you") accept and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific services. These Terms constitute a legally binding agreement between you and Codesec.

Refers to any individual or entity that accesses or uses our Services, whether as a visitor, registered user, or client.

Refers to text, graphics, images, software, code, data, and other materials displayed, uploaded, or transmitted through our Services.

Eligibility

To use our Services, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using our Services under applicable laws
  • If acting on behalf of an organization, have the authority to bind that organization to these Terms

License to Use Services

Professional Services Terms

For clients engaging our professional services (web development, cybersecurity, DevOps, automation), the following additional terms apply:

Project Agreements

All professional services are governed by a separate Statement of Work (SOW) or Service Agreement that specifies scope, deliverables, timelines, and payment terms. In case of conflict, the specific service agreement shall prevail over these general Terms.

Deliverables and Intellectual Property

Unless otherwise specified in the project agreement, upon full payment, clients receive ownership of custom deliverables created specifically for them. We retain ownership of pre-existing materials, tools, and methodologies used in the project.

Client Responsibilities

Clients are responsible for providing timely access to necessary systems, information, and feedback. Delays caused by client unresponsiveness may affect project timelines and may result in additional charges.

Payment Terms

Fees and Payment

  • • All fees are quoted in the agreed currency (typically USD or INR)
  • • Payment terms are specified in the project agreement or invoice
  • • Payment is due within the specified period (typically 15-30 days)
  • • We accept bank transfers, online payment platforms as specified

Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any applicable GST, VAT, sales tax, or other taxes imposed by relevant authorities. For Indian clients, GST will be charged as per applicable rates.

Refund Policy

Refund policies vary by service and are specified in individual service agreements. Generally, advance payments for professional services are non-refundable once work has commenced, except as required by law.

Intellectual Property Rights

Our Content

The Services and their original content, features, functionality, design, and branding are and will remain the exclusive property of Codesec and its licensors. The Services are protected by copyright, trademark, trade secret, and other intellectual property laws of India and foreign countries.

User Content

You retain ownership of any content you submit to our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely in connection with providing the Services.

Open Source

Some of our tools and libraries may be available as open source under their respective licenses. These Terms do not supersede the terms of any applicable open source licenses.

Trademarks

"Codesec", the Codesec logo, and other marks are trademarks of Codesec. You may not use our trademarks without our prior written consent.

Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.

Service Availability and Modifications

We strive to provide reliable service, but we cannot guarantee uninterrupted availability. We reserve the right to:

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Services will meet your specific requirements; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Services will be accurate or reliable; or (d) any defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

In no event shall Codesec, nor its proprietor, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation, damages for loss of profits, goodwill, data, use, or other intangible losses, resulting from your use of or inability to use the Services.

Maximum Liability Cap

Our total aggregate liability to you for all damages, losses, and causes of action shall not exceed the greater of: (a) the amount you have paid us in the twelve (12) months prior to the claim giving rise to liability; or (b) INR 10,000 (or equivalent in USD).

Indemnification

You agree to defend, indemnify, and hold harmless Codesec, its owners, and any employees, contractors, agents, officers, and affiliates, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees and costs) arising from: (a) your use of and access to the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your Content or data submitted through the Services.

Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations within 30 days.

Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in Bangalore, Karnataka, India, in English.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action.

Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to the arbitration clause above, you agree that:

  • The courts located in Bangalore, Karnataka, India shall have exclusive jurisdiction
  • You waive any objection to the exercise of jurisdiction by such courts
  • You waive any objection to venue in such courts

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

Effect of Termination

Upon termination: (a) your right to use the Services will cease immediately; (b) we may delete your account and data; (c) any outstanding payments become immediately due; (d) provisions intended to survive termination shall remain in effect (including intellectual property, limitation of liability, indemnification, and dispute resolution).

Voluntary Termination

If you wish to terminate your account, you may simply discontinue using the Services or contact us at [email protected] to request account deletion.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, power outages, internet or telecommunications failures, cyberattacks, or pandemics.

Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Codesec regarding your use of the Services. These Terms supersede any prior agreements or communications between you and us. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. For material changes, we will provide at least 30 days' notice prior to any new terms taking effect by posting on our website and/or sending you an email. Your continued use of the Services after any changes constitutes acceptance of the updated Terms. If you do not agree to the new terms, please stop using the Services.
